Portfolio management’s next rulebook: prepare the operating model for April 2027

The 2026 regulations establish a future commencement date and distinguish ordinary portfolio management from the PRIM route. Firms should use the transition period to align client agreements, investment scope, disclosures, records and governance without treating the new framework as already effective.

The executive brief

The decision in front of the business.

Create a provision-specific implementation and transition matrix; do not apply one commencement or grandfathering assumption to every requirement.

01Regulation 1(2) expressly provides for commencement on 1 April 2027. The October web publication does not bring the new framework into immediate force.

02Client thresholds, permitted investments, disclosure processes and transition provisions must be assessed by service route and client category.

03Regulation 46 repeals the 2020 regulations only when the new regulations commence and preserves specified earlier actions, applications, rights and obligations.

Development context

The facts that shape the opportunity.

Instrument and commencement

SEBI’s 12 October listing carries the Portfolio Managers Regulations, 2026. The official Gazette text contains the 7 October notification in the 8 October issue. Regulation 1(2) fixes 1 April 2027 as the effective date; regulation 46 governs repeal and savings.

Client and disclosure controls

Regulation 15 provides for disclosure-document maintenance, independent chartered-accountant certification and communication of material changes. It prohibits upfront fees and assured returns. Regulation 16 sets the ordinary minimum client investment at ₹50 lakh, with its accredited-investor exception and specific transition for investments predating the 2020 regulations. Chapter VI separately addresses PRIM; regulation 32 limits that route to direct plans of Indian mutual funds and regulation 33 sets its client minimum at ₹25 lakh.

TLGS assessment

Commercial and operating implications.

Read the transition by provision and client category

The regulation 16 transition for specified older investments is not a universal grace period for every firm or obligation. A compliance matrix should identify the applicable provision, affected client or business line, effective date, allowed transition and required evidence. The firm should also distinguish requirements expressly stated in the regulations from matters left for further SEBI specification.

Turn disclosure rules into operating controls

Assign responsibility for the disclosure document, certification cycle, material-change identification, website version and client communication. Regulation 15 sets fifteen-calendar-day requirements for specified material-change filings and client disclosure, alongside annual requirements. The implementation plan should connect legal approval with the systems and records that demonstrate delivery rather than rely on an updated template alone.

Keep distinct products and permissions distinct

PRIM’s direct-mutual-fund investment scope is a specific operating route, not permission to treat all portfolio management as unrestricted pooled or discretionary fund activity. Before adopting a new service proposition, map its investment permissions, client category, records, distribution and disclosures. Business economics should be assessed against the actual regulated model and not assumed from a marketing label.
