SME IPO consultation: valuation-based platform choice and financial-reporting readiness

SEBI’s consultation proposes market-capitalisation-based platform thresholds and enhanced financial reporting for a larger-issuer band. It creates a policy-response and capital-raising planning exercise, not a new operative listing entitlement.

The executive brief

The decision in front of the business.

Test capital-raising plans against the proposed platform and reporting changes while continuing to distinguish the draft from the operative ICDR framework.

01The consultation reviews the SME IPO provisions of the ICDR Regulations, 2018. Public comments are invited by 4 November 2026; the paper does not prescribe a deadline hour.

02Its proposed platform framework uses post-issue market capitalisation: up to ₹1,000 crore for the SME platform and an optional band above ₹1,000 crore through ₹4,000 crore, with additional reporting requirements for that band.

03These are proposals. An enterprise should assess the implications for valuation, financial statements and timing, but must not assume that the consultation has amended current eligibility rules.

Development context

The facts that shape the opportunity.

Proposed platform thresholds

Paragraph 5.1.1.3 proposes replacing the paid-up-capital approach with post-issue market-capitalisation thresholds: issuers up to ₹1,000 crore would use the SME platform, while issuers above ₹1,000 crore and up to ₹4,000 crore could also choose it. The proposal addresses reassessment and re-filing when valuation crosses the relevant thresholds.

Larger-issuer reporting and comments

Paragraph 5.1.1.6 proposes Ind AS restated consolidated financial statements for the optional ₹1,000–₹4,000-crore band, covering the last three financial years and a stub period where applicable. The public-comments section specifies 4 November 2026. The document remains a consultation rather than an enacted amendment.

TLGS assessment

Commercial and operating implications.

Valuation can become a route-planning dependency

A platform decision based on market value connects financing strategy to valuation assumptions at more than one stage. An issuer should model plausible valuation outcomes, identify the documentary consequences of a changed route and avoid structuring its timetable around a single unsupported valuation. This is scenario planning around a proposal, not advice to change platform before the final framework is known.

Reporting readiness may determine lead time

Preparing suitable consolidated and restated financial information can require coordination across finance, audit and corporate records. The proposed larger-issuer condition should prompt a gap assessment and an estimate of preparation time. It should not be presented as already binding on every SME issuer, and a consultation response should distinguish practical implementation costs from opposition to disclosure quality.

Use the consultation window for evidence-based input

Boards and industry associations can submit focused comments on transition, threshold reassessment, comparability and compliance burden. Support proposals with actual business and reporting scenarios rather than an expectation that the framework guarantees access to capital. Merchant-banking, audit and legal responsibilities should remain explicitly allocated to the appropriate regulated professionals.

RDI eligibility expands to advanced chemicals and petrochemicals
