SEBI’s debt-market package: three circulars, distinct obligations and commencement dates

The 7 October measures combine a forthcoming credit-risk display requirement with immediate changes to specified merchant-banker and ISIN provisions. Issuers and bond platforms need a rule-by-rule implementation plan rather than a single assumption of blanket relaxation.

The executive brief

The decision in front of the business.

Build separate controls for disclosure, exemption eligibility and maturity-year ISIN planning, using each circular’s own commencement rule.

01The Credit Risk-o-Meter circular comes into force after 45 days from issuance; the other two circulars state immediate effect.

02A permitted exemption requires the relevant conditions to be met together. It does not remove the issuer’s wider disclosure or compliance responsibilities.

03The risk display concerns credit risk, not a complete assessment of market, liquidity or product-structure risk.

Development context

The facts that shape the opportunity.

Credit Risk-o-Meter

SEBI’s circular HO/17/11/22(1)2026-DDHS-POD1/I/23092/2026 introduces a mandatory credit-risk display for the covered debt disclosures and online bond-platform interfaces. The 45-day commencement provision is in paragraph 5. Annexure A addresses scope, rating-based classification, textual disclosures, platform updates and audit trails.

Merchant-banker exemption

Circular HO/17/11/24(7)2026-DDHS-POD1/I/23122/2026 revises the specified ₹10,000-face-value private-placement route. Its conditional exemption takes immediate effect; it is not a general exemption for every privately placed debt issue.

SEBI ↗

ISIN provisions

Circular HO/17/11/24(8)2026-DDHS-POD1/I/23125/2026 immediately revises maturity-year limits and categories, together with stated exclusions and treatment of legacy instruments. Issuers need an instrument-level register to apply the amended framework.

TLGS assessment

Commercial and operating implications.

Risk display is an operating control, not decoration

The risk display must reflect the prescribed rating approach, including the lowest of multiple ratings and the required treatment of unsecured instruments. For OBPPs, rating-change intimation from NSDL/CDSL triggers the specified 24-hour update obligation; manual classification overrides are prohibited and audit trails are required. Implementation should connect the disclosure template with the authoritative data feed, escalation and review process.

SEBI ↗

Document every condition behind the exemption

The exemption requires Indian financial-sector regulation, at least one year of exchange listing without the specified pending compliance fines, and the stipulated auditor-supported default history. Senior/security requirements and an AA- minimum rating also apply; the lowest rating governs where there are several. The special security treatment for CPSEs, PSUs and statutory bodies does not waive the other conditions. Eligibility should be evidenced at the actual issue decision.

SEBI ↗

Map maturities before using the revised headroom

The revised general structure distinguishes seventeen maturity-year ISINs, including twelve plain-vanilla and five specified other instruments, with additional provisions and exclusions. Authorised 54EC issues, large plain-vanilla maturity amounts, eligible ESG/GoI-serviced instruments and legacy FRB, ZCB or Tier-II treatment require separate analysis. A borrowing plan should use the circular’s precise category rules rather than treat seventeen as an unconditional limit for every issuer.

SEBI ↗

Turn the rules into a controlled implementation pack

Prepare an applicability matrix, responsible-owner list, document changes, system requirements and evidence of approval. Treasury, legal, finance and technology teams should work from the same issue and instrument register. The resulting controls should support both a current transaction and later rating or portfolio changes; completing a one-time disclosure template is not the end of implementation.

OBPP and compliance teams

Implement the disclosure, rating-update and audit controls against the relevant commencement rule.

Project and policy milestones

What changes the next decision.

Exchange operating requirements, the Credit Risk-o-Meter commencement, system readiness and transaction-specific application of the three circulars.
